This Terms of Service document outlines the terms and conditions of use, of the GrassRoots Referral program provided by NUSAZ LLC/Privacy Academy, they also govern the use of, and access to any content, which includes and not limited or restricted to, the website, forums, and all other services or products provided by or linked by NUSAZ LLC/Privacy Academy, in any way, shape or form.
These terms of service are legally binding documents which govern your use of The GrassRoots program and any other services/products, linked to or provided by NUSAZ LLC/Privacy Academy, and our provision of the service to you.
You are advised to read these terms of service carefully and in their entirety; this will help ensure that they contain everything you want and that there is nothing within them that you are not prepared to agree to. If they contain anything that you are not willing to agree with then you only have two (2) courses of redress, these areas follows:

Introduction to GrassRoots:
Our GrassRoots Referral Program is Privacy Academy’s word-of-mouth referral program in which people can receive a commission for referring other people to Privacy Academy, or you/they can choose for commissions to go to one of our selected charities, in this case we will donate your/their commission payments in full direct to that charity.
This is a free service for subscribers, no up front payments or fees, in fact the main purpose is to get more and more privacy focused people involved in a service that spreads the word of privacy and helps make the internet a safer online environment for all.
The GrassRoots program is designed to generally create a higher purpose that will allow everyone to work together with a common goal, this will help to ensure our liberty for generations to come, this may sound quite broad and targeted, However, there is an overall much larger view. The GrassRoots referral system enables our members to refer new clients and earn residual income through the use of a commission based referral program (CBRP).
Our customers would earn residual income/revenue when they refer someone into our services/programs, based on and around commissions, paid only after payments are received for services/products provided by us.
There is slightly more to it, the terms of service for GrassRoots needs to be read in its entirety and the check box will need to be checked to continue into the program.

Article 1: Definition’s and Interpretations:
The following words, highlighted in bold text, shall have the following Definitions and Interpretations/meanings in these Terms of Service:
TOS. Refers to Terms of Service.
PII. Refers to your Personal Identifiable Information.
We, Us, Our, Ourselves.Refer to any and all brands,services and products provided, owned and operated by NUSAZ LLC/Privacy Academy including and not limited to the Services/products, Websites and Forums, for the purposes of this Agreement, a full list of which can be found in Article 6. Subscription of the main TOS.
Member, Subscriber, User, You and Your.Refer to any and all valid registered users or visitors to our Services/products, Websites and community, where ever they access Services/products provided by (us) NUSAZ LLC/Privacy Academy including the GrassRoots referral program.
GRP.Refers to the abbreviated product name GrassRoots Referral Program.
AUP.
Refers to the acceptable use policy. This policy should be read by all users/subscribers and members.
CBRP.
This refers to the abbreviated wording,”commission based referral program” as used by the GRP.
Paid Services.
Refers to all Services accessible by (you), at rates quoted, by our service, to subscribers/members, for a valid subscription. Although GrassRoots is a free to join service, it is only open to subscribers with a valid subscription and at present within the borders of the United states of America, as the service grows we do intend to extend the service.
Notifications.These are service messages used by us to inform members/subscribers about changes etc. to their accounts.
IRSRefers to The Inland Revenue service.
Article 2: (applicable to) Entire Agreement:
Under the reasonable assumption that being a subscriber to our services, you have already agreed to our terms of service to become a subscriber or member to our main services, this TOS although separate, runs in conjunction, whilst covering the use of the GrassRoots Referral Program (GRP):
This Agreement and the pages of Privacy Academy, GrassRoots, the website, and the privacy academy community to which these terms refer, including the (AUP), constitute a contract that governs the relationship between you and NUSAZ LLC/Privacy Academy, and the entirety of the rights and obligations of the users/subscribers/members and ourselves.
You should read in full, the terms of service along with the AUP (Article 14. AUP (acceptable use policy) held within the main TOS, on joining our site, by purchasing any subscription or product offered by us, you the user/subscriber/member agree to these terms of service in their entirety.
Failure to read the GrassRoots Referral Programs terms of service in their entirety is not in any way shape or form, grounds for a member to claim a get out clause, in all cases without exception, users/subscribers/members are responsible for reading these terms in full.
If any of the provisions of these “Terms of service” or “AUP” is declared void in application of a law, a regulation, or a final decision ruled by a court having proper jurisdiction, all other provisions shall remain fully in effect.
Failure by a Party to take action in respect of any breach by the other Party of any provisions of these Terms of service or Article 14. AUP, shall not be interpreted as constituting a waiver by said first Party of the right to take action in the future, in respect of such a breach.
The GrassRoots Referral Program in no way shape or form gives you the User/member or subscriber, digitally or otherwise any of the Proprietary rights, also known as property rights to any of the products referred or sold, for the avoidance of all doubt, these remain the sole property of NUSAZ LLC/Privacy Academy.
The Inland Revenue service requires us to inform our clients, paid by commission, through the GrassRoots referral program, that (your) information concerning any monies you receive from this service must be recorded towards your tax returns on the (W9) form provided, although NUSAZ LLC/Privacy Academy records transaction information for our own business tax returns, you are completely responsible for your own tax returns and by joining this service you acknowledge this fact in its entirety.
Article 3. Personal privacy and protection:
We uphold the strictest of standards with respect to protection of privacy, and of personal information supplied by our users/subscribers/members, we are as transparent as possible, please see our Privacy Policy for full details and feel free to look over the guidelines we follow and adhere to.
We do not share your PII with third parties, Cookies used on our service are on service only, we do not use third party cookies, or transmit information collected, any information collected by our cookies are used on our site only for the purpose of administering your account, please read Article 13. “Use of the Service information”.
We do however have a responsibility to subscribers using the GrassRoots Referral Program and to supply via download the Form W-9, Request for Taxpayer Identification Number and Certification, we do not have access to the information you put on your form and do not store such information in any data storage device of any kind, written or digital.
The cookies used by our service are clearly listed with the explanation of how we use them, and the information collected, in our Privacy Policy Article 15, please read the full policy to see how we protect your data.
Article 4. Functioning of the GrassRoots Services:
To use the GrassRoots service, you must first become a subscribed Member and register with the program, you must have the necessary hardware equipment, software and the necessary parameters required to properly use the services/products, website, and the privacy academy community, including access to the internet.
The Member must have the skills, hardware and software required to use the Internet or, as appropriate, Internet and telephone Services in place, and also acknowledge that the characteristics and constraints of the Internet mean that the security, availability and integrity of Internet data transmissions cannot be guaranteed by us, therefor, for the avoidance of all doubt, it is your, or your internet providers responsibility for the internet service provided, for the avoidance of all doubt, NUSAZ LLC/Privacy Academy, Cannot and will not be held responsible for any disruptions in your internet service in any way shape or form.
We do not guarantee that the Services will function if the users/subscriber/member activates a pop-up killing/blocking tool. In this case, the function should be deactivated before using the service.
We do not guarantee that the Services will be usable if the Member’s internet service provider is unable to provide its services properly, In this context, we cannot and will not be held responsible for the non-functioning, unavailability or adverse conditions of usage of any services/products, website, or the privacy academy community, resulting from and not limited to incorrect hardware, Force Majeure, US infrastructure, bad weather or war, problems experienced by the member’s internet service provider or blockages on the Internet networks, are outside of our control.
Hardware items are not supplied by NUSAZ LLC/Privacy Academy, it is the members responsibility to have the correct hardware and software to use any of the services/products provided.
You connect to our service through a smart phone tablet or any other mobile device using its internet browser, on the understanding that you are responsible for the data charges/services payable to your service provider for the data usage of that device, for the avoidance of all doubt, NUSAZ LLC/Privacy Academy, is in no way responsible for your data level or usage and is in no way shape or form liable for such.
The GrassRoots referral Program is at present designed to work only within the borders of the USA we cannot and will not be held responsible for a users use of any VPN services to access the GrassRoots Program from outside of the United states of America, you should be a United States citizen on United States soil to use this service and you affirm that by clicking the check box on this agreement, at present this is non negotiable and as part of these terms of service are as such.
Under these conditions, we do not guarantee that the Services shall function without interruption or error. In particular, the use of our website, the privacy academy community may be interrupted at any time for the purposes of maintenance, updates or technical improvements, or to develop its content and/or presentation. Whenever possible, users/subscribers/members will be given notification via the website or forums prior to maintenance work or updates.
Article 5. Commission Payments:
Commission payments are made to individual members of the GrassRoots referral program or may be donated to a charity through Privacy Academy, for the referral of new subscribers after the successful completion and payment for new subscriptions to products/services provided by NUSAZ LLC/Privacy Academy through our CBRP.
At present the GrassRoots Referrers are:
- Individual clients.
Based on individual clients, commissions paid by NUSAZ LLC/Privacy Academy are on a rounded percentage rate please see the following example:
Our Client, (you) refer someone who becomes Customer B into our $49/m program, Customer A (you) will receive 20%/m for as long as both Customer A (you) and Customer B remain in our program.
Purchase prices of products and services provided are subject to change depending on subscription variations and inherent price increases to services beyond our control, however, the commission rates will remain in force, any changes to commission rates, should they arise, will be posted on the appropriate pages of the website and service.
As the GrassRoots referral program only applies within the borders of the USA at present, your SSID will be needed for stripe verification, we do not receive or hold this information, it is for your registration to (Stripe) the payment gateway.
Commission payments are paid via the PayPal payment gateway, to receive commission payments you will require a valid email address and PayPal account, for the avoidance of all doubt, this is the only method used by us for commission payments at present.
It is company policy that all payments made to the GrassRoots Referrers (you) are subject to a minimum withdraw limit of $500.00 USD. This is non negotiable and as part of these terms of service are as such.
It is company policy that all payments made to the GrassRoots Referrers (you) are subject to a sixty days (60 days) withdraw notice given by you the referrer, this will trigger the payment that will be received by you 60 days later, by checking the check box at the end of this agreement you agree to these terms, these are non negotiable and as part of these terms of service are as such.
For the avoidance of all doubt, It is company policy that all payments made to the GrassRoots Referrers will only be paid to verified accounts, as with other payment policies of the GRP these are non negotiable.

Article 6. Charity Payments:
Charity Payments/Donations is a way to help a number of charities one of which can be chosen from a drop down box at the end of this agreement, it enables Privacy Academy to pay your commissions earned to a charity of your choice from the verified list, this form of commission payment requires no form of account verification, just select the check box, choose a charity from the drop down box and that’s it, all commissions will go direct to the selected charity in full, unless or until we are instructed to change the payment method to standard payments.
For the avoidance of all doubt, Charity Payments/Donations are commissions paid to a pre-selected charity, these are paid in full, directly through Privacy Academy and therefore do not require account verification.
The selection between standard commission payments and charity payments/donations can be switched at any time, however, these payments cannot be back dated or returned, switching between charity and standard payments will be subjected to account verification at this point.
Example:
- Payments checked for charity payments/donations, once selected will automatically go to the prescribed charity.
- Changing the payment method to standard commission payments will subject your account to the verification process for payments to proceed as per Article 5. commission payments: these will also fall under the terms found in Article 7. payment retention & loss policy:
- Standard commission payments require account verification using SSID.
The check boxes for standard and charity payments/drop down box, can be found at the end of this agreement.
Article 7. Payment Retention & Loss Policy:
You the subscriber to this service have the obligation to complete verification of your account, although not urgent, there is a 6 month time limit for completion of this process, you alone have the responsibility for this, we will not and cannot be held accountable for your failure to comply with the terms of service in this or any other product/service provided by NUSAZ LLC/Privacy Academy.
A retention policy is in place and will run for up to a period of 6 months, the retention is based upon the works not completed principle, in this case the policy is effective when verification of accounts is not completed, failure to comply with verification will result in the loss of funds and possible closure/termination of your GRP account.
The loss of commissions in your GRP account will be a direct result of the verification process not being completed by you, in this case, for the avoidance of all doubt, NUSAZ LLC/Privacy Academy, cannot and will not take responsibility for your failure to comply with these terms of service, your only recourse is to complete the verification process within the time frame given.

Article 7. Geographical Range:
It is the intention to open the service to other geographical locations around the world in the future, However, “at this moment in time”, the service area covered by the GrassRoots Referral Program (GRP) is restricted to the United States of America.
For the avoidance of all doubt and based upon the geographical range policy, you join the GrassRoots referral Program on the understanding that you must be a resident, living in the USA, all other countries and geographical locations are excluded from the GRP at present.
It is a clear breach of this policy for any user from outside the geographical area of mainland USA, to use a VPN or any other location masking product, to access or join this (GRP) service, breach of this term will result in loss of account and any funds linked to such without exception, breach of this policy could lead to legal action being taken.
Article 8. Intellectual Property:
Subscribed members to the GRP are only referring new subscribers, you are only representing the trademark, name, logos, graphics and texts featured on any and all of our services/products, the intellectual property remains firmly in the hands of NUSAZ LLC/Privacy Academy and may not be reproduced, used or represented without the explicit permission, in writing from NUSAZ LLC/Privacy Academy, for more information please contact:

Any breach of intellectual property rights belonging to NUSAZ LLC/Privacy Academy, no matter how small, including but not limited to copyright, trademarks, trade secrets, or the reverse engineering of site information I.E. code, will in all circumstances, result in legal action being sought and taken to the full extent of the law in the United states of America.
Article 9. Age Restriction policy:
Due to the Children’s Online Privacy Protection Act (COPPA), the GRP (GrassRoots Referral Program) is not open to any person under the age of 18 years old, any subscriber found to be under this age will be removed from the service and could face legal actions for breach of these terms of service. We do not, and will not, knowingly supply any child with our products/services of any kind.
Article 10. Third party websites:
The GRP service will provide you with content belonging to third parties or links leading to third party websites, for purpose of example only, the PayPal or Stripe payment gateways are not controlled by NUSAZ LLC/Privacy Academy and we are not and will not be held responsible for the availability of the content provided by such third parties.
Third party companies and services have different terms of service and privacy policies, it is your responsibility as the user/subscriber/member, to read the terms of service and privacy policies of any third party site you choose to use, failure on your part to read such content is beyond our control and we cannot, and will not be held liable for actions not taken by you.
Your access through our Services to any website, service, or content provided by any third parties does not indicate any relationship between NUSAZ LLC/Privacy Academy and any such third parties.
Article 11. Indemnification:
You agree to indemnify, defend, and hold harmless NUSAZ LLC/Privacy Academy, its officers, directors, employees, members, partners, agents, and suppliers, from any and all claims and expenses, including attorneys’ fees, arising out of your use of the Content, Products and Services, including but not limited to your violation of this Agreement, as per Article 22. Indemnification: of the main terms of service.
We may, at our sole discretion, assume the exclusive defence and control of any matter subject to indemnification by you, the assumption of such defence or control by us, however, shall not excuse any of your indemnity obligations.
Article 12. Warranties and Disclaimers:
General Reference.
On previously subscribing to one of our products/services you should had read the agreement in full, it is and will be assumed by us that your subscription confirms this fact. Based on this fact all the prior warranties and disclaimers remain in full effect with the addition of the following:
NUSAZ LLC/Privacy Academy, cannot and will not be held responsible for the actions of its subscribed members whilst using the GRP, we do however regulate membership to the program and will remove any bad actors found to be using the said service, stating this, we also state that NUSAZ LLC/Privacy Academy, cannot and will not be held responsible for your failure to report such actions by another subscriber.
Commissions are paid to you through the GRP on the understanding by you that you are responsible for having an active STRIPE and PayPal account, failure to have such is beyond our control and NUSAZ LLC/Privacy Academy, cannot and will not be held responsible in any way shape or form for delayed payments due to this fact.
NUSAZ LLC/Privacy Academy, will endeavour to run the GRP (GrassRoots Referral Program) to the best of our abilities in all circumstances, however, we will not be responsible or held liable in any way shape or form for, any delay or failure to perform to the extent, due to unforeseen circumstances beyond our reasonable control, including, and without limitations, failures of your telecommunications or internet service providers, Force Majeure, earthquakes, fires, floods, embargoes, labour disputes and strikes, riots, war, novelty of product manufacture, or any other unanticipated product development problems, and acts of civil and military authorities.
For the avoidance of all doubt, any and all passwords associated with your accounts are a sole responsibility of yours, you should never, under any circumstances, share this information with anyone else, NUSAZ LLC/Privacy Academy, cannot and will not be held responsible in any way shape or form, for the loss, miss use or access to your accounts by any third party by use of your passwords used in association with your accounts.
Article 13. Jurisdiction and Applicable Law:
As the GRP is currently only available and running in the United States of America and NUSAZ LLC/Privacy Academy is a private company incorporated in Lincoln, Nebraska, USA. NE., this contract, between you and NUSAZ LLC/Privacy Academy shall for the avoidance of all doubt, be governed by Nebraska State Law, as such, any and all disputes will be decided only through the American court system in Nebraska USA.
Article 14. Final note:
For the avoidance of all doubt, as a final note, you the subscriber, must read and agree to these terms of service, and also read our Privacy Policy before using the GrassRoots Referral Program provided by NUSAZ LLC/Privacy Academy, otherwise the making of an account in the GRP will be taken as your acceptance of the full terms of service and Privacy Policy in their entirety.
These terms of service (TOS) are your explanation of your and our rights to the service provided, you must follow the guidelines and policies set out in these TOS, failure to do so will result in the loss of your accounts.
